Pilot Travel Centers LLC Signs Agreement
To Buy 60 Travel Centers from Williams TravelCenters Inc.

Knoxville, TN. - Pilot Travel Centers LLC announced today that it has signed a definitive agreement to purchase 60 retail travel centers from Williams TravelCenters, Inc., including fuel inventory, merchandise and supplies. The 60 locations are in 15 states, primarily in the Midwest, Southeast and the Southwest regions of the country.

Pilot Travel Centers LLC is a joint venture 50 percent owned by Knoxville, Tennessee-based Pilot Corporation and 50 percent owned by Findlay, Ohio-based Marathon Ashland Petroleum LLC. Pilot Travel Centers LLC operates the country's largest travel center network with 236 locations in 37 states. The combined operations will have approximately 12,500 employees, 296 locations and operate in 37 states.

Subject to government approval, the transaction is expected to close in approximately 60 days.

In addition to its ownership in Pilot Travel Centers LLC, Pilot Corporation operates approximately 70 convenience stores in Tennessee and Virginia.
